These Promotions Terms are the official rules for any giveaway, sweepstakes or prize draw (a "Promotion") that CloudAPIcredits announces on its website or on its Facebook, Instagram, TikTok, X or other social media accounts. A specific Promotion may post short rules alongside the entry post; those short rules fill in the blanks below and, if they conflict with these Terms, the short rules control for that Promotion.

No purchase or payment of any kind is necessary to enter or win. A purchase will not increase your chances of winning. You do not need to sign up with any cloud or AI provider, claim any offer, or follow any affiliate link to enter.

The Promotion is sponsored by {{COMPANY_LEGAL_NAME}}, {{ENTITY_TYPE, e.g. a Texas limited liability company}}, {{STREET_ADDRESS}}, {{SUITE_OR_UNIT}}, {{CITY}}, TX {{ZIP}}, United States (the "Sponsor"). The Sponsor is solely responsible for the Promotion. No cloud or AI provider whose offers appear on the Site sponsors, administers or endorses any Promotion unless the entry post says so.

2. Eligibility

The Promotion is open to legal residents of the 50 United States and the District of Columbia who are at least 18 years old at the time of entry, or the age of majority in their state if higher. Employees, contractors and owners of the Sponsor, and their immediate family members (spouse, parents, children, siblings) and household members, are not eligible. Employees of a provider whose offers are featured on the Site are not eligible for a Promotion that features that provider. The Promotion is void outside the eligible area and wherever prohibited or restricted by law.

Entry constitutes acceptance of these Terms and of the Sponsor's Terms of Use and Privacy Policy.

3. Promotion period

The Promotion begins on {{PROMOTION_START}} and ends on {{PROMOTION_END}} (the "Promotion Period"). Times are Central Time. Entries received outside the Promotion Period are void. The Sponsor's clock is the official timekeeper.

4. How to enter

The entry post for each Promotion states the entry method. It will be one or more of the following, and no method requires a purchase:

Social entry. Follow the Sponsor's account on the named platform and comment on, like or share the entry post as instructed. Following and sharing are entry methods, not conditions of the prize, and no method may be required that violates the platform's rules.
Form entry. Complete the entry form at the address given in the post with your first name, state and email address.
Mail-in entry. Hand-print your full name, mailing address, email address, date of birth and the name of the Promotion on a 3 by 5 inch card and mail it in a stamped envelope to: {{COMPANY_LEGAL_NAME}}, Attn: Promotion Entry, {{STREET_ADDRESS}}, {{SUITE_OR_UNIT}}, {{CITY}}, TX {{ZIP}}, United States. Mail-in entries must be postmarked during the Promotion Period and received within five business days after it ends. One entry per envelope.

Limit one entry per person and per email address per entry method, unless the entry post says otherwise. Entries generated by script, macro or other automated means, and entries using multiple or fake accounts, are void. Entries become the property of the Sponsor and will not be returned.

Entering through social media does not give the platform any role in the Promotion. See Section 10.

5. Winner selection and odds

Winners will be selected in a random drawing from all eligible entries received during the Promotion Period, conducted within five business days after the Promotion Period ends by the Sponsor or a person it designates, whose decisions are final. Odds of winning depend on the number of eligible entries received. Where a Promotion is a skill contest rather than a drawing, for example a short write-up of a project built on a free tier, the entry post states the judging criteria and the judges' decisions are final.

6. Winner notification

Potential winners will be notified by direct message on the platform they entered from, or by the email address they provided, within three business days of the drawing. A potential winner must respond within 72 hours of the notification being sent and may be required to sign and return an affidavit of eligibility, a liability release and, except where prohibited, a publicity release within seven days of receipt. If a potential winner does not respond in time, declines the prize, is found ineligible, or cannot receive the prize, the prize is forfeited and an alternate winner may be drawn. Three attempts to reach alternates will be made before a prize is left unawarded.

The Sponsor will never ask a winner for a payment, a password, an API key, a Social Security number by direct message, or payment card details. Any message asking for these is not from the Sponsor.

7. Prize

The prize for each Promotion is: {{PRIZE_DESCRIPTION}}. The approximate retail value ("ARV") of the prize is {{PRIZE_ARV}}. The number of prizes is stated in the entry post. Prizes are things the Sponsor buys at retail, such as hardware, books, a general-purpose gift card, or a paid subscription or plan that the Sponsor purchases from a provider in the winner's own name. The Sponsor never transfers credits, promotional balances, API keys or accounts from one person to another, because provider terms forbid it. Where a prize is a plan or subscription with a provider, it is subject to that provider's own terms, the winner must hold or open their own account in good standing, and the Sponsor is not responsible for the provider's performance, pricing changes, rate limits or account decisions. Any cost not expressly listed, including usage beyond what the prize covers, is the winner's responsibility.

Prizes are not transferable and may not be substituted or redeemed for cash, except that the Sponsor may substitute a prize of equal or greater value if the stated prize becomes unavailable. Prizes will be delivered within 30 days of the winner's confirmation, electronically where possible.

8. Taxes

All federal, state and local taxes on a prize are the winner's responsibility. A winner of a prize or prizes with a total value of $600 or more in a calendar year will be issued an IRS Form 1099-MISC and must provide a completed Form W-9 before the prize is released.

9. Publicity release

Except where prohibited by law, by accepting a prize the winner grants the Sponsor the right to use the winner's first name, last initial, state of residence, likeness, voice and statements about the Promotion in advertising and publicity in any media, without further compensation or notice. Tennessee residents and residents of other states that require written consent will be asked to sign a release.

The Promotion is in no way sponsored, endorsed, administered by or associated with Meta Platforms, Inc. (Facebook, Instagram), TikTok, X Corp., Google LLC (YouTube), Pinterest or any other social media platform. By entering, each entrant releases those platforms from all liability in connection with the Promotion. Any questions, comments or complaints about the Promotion go to the Sponsor, not to the platform. Entrants are providing information to the Sponsor and not to any platform.

11. General release and limitation of liability

By entering, each entrant releases and holds harmless the Sponsor, its owners, employees, contractors and agents from any claim, loss or injury arising from participation in the Promotion or the receipt, use or misuse of a prize, to the extent permitted by law. The Sponsor is not responsible for lost, late, incomplete, misdirected or illegible entries, for technical failures of any kind, or for any error in the administration of the Promotion. The Sponsor may disqualify any entrant who tampers with the entry process, violates these Terms or acts in a disruptive manner, and may cancel, suspend or modify the Promotion if fraud, a technical failure or any other cause beyond its control impairs its integrity, in which case winners will be drawn from eligible entries received before the action was taken.

12. Disputes

Except where prohibited, all issues concerning the construction, validity and enforceability of these Terms, or the rights and obligations of entrants and the Sponsor, are governed by the laws of the State of Texas without regard to its conflict-of-laws rules. Any dispute is subject to the dispute resolution provisions of the Sponsor's Terms of Use, including individual arbitration and the class-action waiver, and, where a matter proceeds in court, to the exclusive jurisdiction of the state and federal courts in {{COUNTY}} County, Texas. Entrants waive any right to claim punitive, incidental or consequential damages, or attorneys' fees, other than actual out-of-pocket costs of entering, which for most entrants is zero.

13. Privacy

Information collected from entrants is used to administer the Promotion, to contact winners, to comply with tax and legal obligations and, with separate consent, to send marketing. It is handled under the Sponsor's Privacy Policy. Entry information is deleted within 90 days after the Promotion ends, except winner records kept as the law requires.

14. Winners list and official rules

To receive the name of the winner or a copy of these Terms, send a self-addressed stamped envelope to {{COMPANY_LEGAL_NAME}}, Attn: Winners List, {{STREET_ADDRESS}}, {{SUITE_OR_UNIT}}, {{CITY}}, TX {{ZIP}}, United States, within 60 days after the Promotion Period ends, naming the Promotion. Residents of Vermont may omit return postage.

15. Registration

Where the total ARV of prizes in a Promotion exceeds $5,000, the Sponsor will register and bond the Promotion in New York and Florida as their laws require before it begins, or will exclude residents of those states. Promotions are not offered at retail locations and therefore do not fall under Rhode Island's registration requirement.
