Terms of Use

The agreement that governs your use of the site, including arbitration, class-action waiver, Texas law and the limits of our responsibility.

Last updated: November 2, 2026

These Terms of Use (the "Terms") are a binding agreement between you and {{COMPANY_LEGAL_NAME}}, {{ENTITY_TYPE, e.g. a Texas limited liability company}} ("CloudAPIcredits", "we", "us" or "our"). They govern your access to and use of https://www.cloudapicredits.com and any page, feed, account or form we operate under that domain (together, the "Site").

Section 12 contains a binding arbitration clause and a class-action waiver. It affects how disputes between you and us are resolved. Please read it. You may opt out within 30 days by following the steps in Section 12.7.

1. Acceptance of these Terms

By visiting the Site, clicking any link on it, signing in, or submitting any form on it, you accept these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Site.

The following documents are also part of these Terms and apply when their subject comes up: the Acceptable Use Policy, the User Submission Terms, the Disclaimer, the Affiliate Disclosure and the Verification Promise. If a specific document conflicts with these Terms on the subject it covers, the specific document controls.

2. Eligibility

You must be at least 18 years old to use the Site. By using it you represent that you meet that age, that you can form a binding contract under the law where you live, and that you are not barred from using the Site under United States law. The Site is operated from Texas and is intended for people in the United States. We make no representation that it is appropriate or available elsewhere.

3. What the Site is and is not

CloudAPIcredits publishes listings of provider-issued credits, free trials, startup and research programs, free tiers and discounts, together with pricing comparisons and editorial commentary, for third-party cloud and AI API providers, including Google Cloud, the Gemini API, OpenAI, Anthropic, Amazon Web Services, Microsoft Azure, xAI, OpenRouter, DigitalOcean and Groq (each a "Provider"). We check the offers we list against the Provider's official pages by hand and record the date we last confirmed each one.

We are not a Provider, a reseller, a distributor, a broker or a marketplace. We do not sell, resell, transfer, pool, rent or broker credits, promotional balances, API keys or accounts, and we never will. We do not process payments, open accounts on your behalf, submit program applications for you, or take any part in a transaction between you and a Provider. Every account you open and every credit you claim happens on the Provider's website or console under that Provider's own terms, eligibility rules, pricing and billing.

Credits and offers are created, funded and controlled by the Providers, not by us. A Provider may cap, limit, modify or withdraw an offer at any time without telling us. An offer that was live when we checked it may be unavailable to your account, your organization, your region or your payment method. We do not guarantee that any credit will be granted, that any program application will be approved, or that any listed price, quota or rate limit is still current when you use the service. Our Disclaimer and Verification Promise describe what we do and do not promise about offers.

4. Your obligations to the Providers

Every offer on the Site is subject to the issuing Provider's terms, which you accept when you claim it. Those terms commonly provide that credits are non-transferable, that one person or organization may hold one trial account, that credits expire, and that an account can be suspended for breaching the rules. By using the Site you agree that you will comply with each Provider's terms, that you will not claim an offer you do not qualify for, that you will not open duplicate accounts to claim an offer more than once, and that you will not buy, sell, trade or transfer credits, keys or accounts. We may remove any listing, close any account on the Site and report any conduct that looks like credit trading or Provider fraud.

5. Our affiliate relationship

We earn a commission if you sign up or spend through our links. It does not change your price or the credits you receive. Most outbound links on the Site are affiliate or referral links that route through tracking networks (Impact, CJ Affiliate, Rakuten Advertising, Partnerize, Awin and direct partner programs) or a Provider's own referral system so the Provider can attribute the signup to us. Commission can influence the order in which comparable offers appear, but it never determines whether an offer is listed or whether it is marked as verified. Our Affiliate Disclosure and Advertising Policy explain this in detail. We are not owned by, affiliated with, or endorsed by any Provider.

6. Third-party sites and your account with a Provider

When you follow a link from the Site, you leave CloudAPIcredits. We do not control third-party sites and are not responsible for their content, availability, pricing, security, privacy practices, granting of credits, or handling of your money. Any dispute about a credit, a program application, a usage charge, a rate limit, an account suspension or a refund is between you and the Provider. We will help you find the Provider's support channels if we can, but we have no authority to act on a Provider's behalf.

Provider names, credit amounts, prices, quotas and policy descriptions on the Site are our summaries of information the Providers publish. They can change without notice. Confirm any figure that matters to you on the Provider's own pricing or program page before you rely on it.

7. Optional accounts

You may create an account on the Site through Sign in with Google to save providers and offers and to track your submissions. An account is never required to read the Site or to claim an offer. You are responsible for keeping your Google account secure and for everything done through your account on the Site. We may suspend or delete an account that breaches these Terms, and you may delete your account at any time from the account page. The Privacy Policy explains what we store when you sign in.

8. Intellectual property

The Site, including its text, editorial reviews, verification data, comparison tables, page layouts, graphics, logos, software and the selection and arrangement of its content, is owned by {{COMPANY_LEGAL_NAME}} or its licensors and is protected by United States and international copyright, trademark and other laws. Nothing in these Terms transfers any ownership interest to you.

We grant you a limited, revocable, non-exclusive, non-transferable license to view the Site and to print or save individual pages for your personal or internal business use. You may not copy, republish, scrape, frame, mirror, sell or create derivative works from any part of the Site, except as the Acceptable Use Policy or applicable law expressly allows. Facts about a Provider's offers are not our property, but our verification notes, timestamps, descriptions and compilations are.

Third-party trademarks that appear on the Site belong to their owners and are used only to identify the Providers we write about. See our Trademark Notice.

9. Offers and other content you submit

The Site has a "Submit an offer" form and a contact form. Anything you send us through those forms, through your account or by email (a "Submission") is governed by the User Submission Terms. In short: you grant us a perpetual, worldwide, royalty-free license to use, edit, publish and distribute your Submission with or without attribution; you confirm that you have the right to share it and that the offer is one the Provider itself issues; you receive no payment; and we may reject, edit or remove it for any reason. Do not send us anything confidential, anything that belongs to someone else, any API key or credential, or any offer that involves selling or transferring credits or accounts.

10. Prohibited conduct

You agree not to misuse the Site. The Acceptable Use Policy sets out the specific rules. Among other things, you may not scrape or bulk-download the Site, access it with bots or automated tools other than ordinary search engine crawlers, flood our forms, submit false or fraudulent offers, impersonate anyone, interfere with the Site's security or operation, use the Site to arrange credit or account trading, or use any offer in a way that violates the issuing Provider's rules or the law. We may suspend or block access to anyone who breaks these rules, with or without notice.

11. Disclaimers of warranties

The Site and everything on it are provided "as is" and "as available", with all faults. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and any warranty arising from course of dealing or usage of trade.

Without limiting the foregoing, we do not warrant that any credit amount, price, quota, rate limit, eligibility rule or other information on the Site is accurate, complete or current; that any offer will be available to you; that any Provider will grant a credit or approve an application; that the Site will be available, error-free or secure; or that any Provider will honor any offer. Any advice on the Site about which Provider to choose, how to structure a workload or how to control spend is general editorial opinion, not professional, financial, legal or engineering advice.

Some states do not allow the exclusion of certain implied warranties. In those states the exclusions above apply only to the extent permitted.

12. Limitation of liability

To the fullest extent permitted by law, {{COMPANY_LEGAL_NAME}}, its owners, officers, employees, contractors and affiliates will not be liable to you for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, data, goodwill or opportunity, or for any usage charges, overage fees or account actions imposed by a Provider, arising out of or related to the Site or these Terms, even if we have been advised of the possibility of such damages.

Our total liability to you for all claims arising out of or related to the Site or these Terms, under any theory of liability, will not exceed the greater of (a) one hundred US dollars ($100) or (b) the amount you paid us in the twelve months before the claim arose, which for most users is zero.

Nothing in this Section limits liability that cannot be limited under applicable law, including liability for fraud, for gross negligence or willful misconduct where state law does not permit its exclusion, or your rights under the Texas Deceptive Trade Practices-Consumer Protection Act described in Section 16.

13. Indemnification

You agree to defend, indemnify and hold harmless {{COMPANY_LEGAL_NAME}} and its owners, officers, employees, contractors and affiliates from any third-party claim, demand, loss, liability or expense (including reasonable attorneys' fees) arising out of (a) your Submissions, (b) your violation of these Terms or the Acceptable Use Policy, (c) your violation of any law or of any third party's rights, or (d) your claim or use of any offer in violation of a Provider's terms, including any credit or account trading. We may assume the exclusive defense of any matter subject to indemnification, in which case you agree to cooperate with us.

14. Dispute resolution and binding arbitration

14.1 Informal resolution first

Before starting arbitration or any court proceeding, you agree to send a written notice of dispute to {{LEGAL_EMAIL}} or to {{COMPANY_LEGAL_NAME}}, Attn: Legal, {{STREET_ADDRESS}}, {{SUITE_OR_UNIT}}, {{CITY}}, TX {{ZIP}}, United States. The notice must include your name, your contact details, a description of the dispute and the relief you want. We will do the same if we have a dispute with you. If we have not resolved the dispute within 60 days after the notice is received, either side may begin arbitration. The statute of limitations is tolled during this 60-day period.

14.2 Agreement to arbitrate

Except as provided in Sections 14.5 and 14.7, you and {{COMPANY_LEGAL_NAME}} agree that any dispute, claim or controversy arising out of or relating to the Site, these Terms, or any content or Submission, whether based in contract, tort, statute, fraud, misrepresentation or any other legal theory, and whether it arose before or after these Terms took effect, will be resolved by binding individual arbitration and not in court.

This agreement to arbitrate is governed by the Federal Arbitration Act, 9 U.S.C. § 1 et seq., and evidences a transaction involving interstate commerce. The arbitrator, not any court, has exclusive authority to resolve any dispute about the interpretation, applicability, enforceability or formation of this Section 14, except that a court will decide any dispute about the class-action waiver in Section 14.4.

14.3 Rules and procedure

The arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules in effect when the arbitration is filed, as modified by these Terms. The AAA rules and filing forms are available at www.adr.org or by calling 1-800-778-7879. If the AAA is unavailable, the parties will agree on a substitute forum, or a court will appoint one under 9 U.S.C. § 5.

Filing and arbitrator fees will be allocated as the AAA Consumer Arbitration Rules provide. If your claim is for $10,000 or less, we will pay all AAA filing, administration and arbitrator fees unless the arbitrator finds your claim frivolous. Each side bears its own attorneys' fees unless the arbitrator awards them under applicable law.

The arbitration will be conducted by a single neutral arbitrator. Any in-person hearing will take place in {{COUNTY}} County, Texas, or in the county where you live if you prefer. Claims of $25,000 or less will be decided on written submissions unless the arbitrator decides a hearing is necessary. The arbitrator may award the same individual relief a court could award, and the award may be entered as a judgment in any court with jurisdiction.

14.4 Class-action and jury waiver

You and {{COMPANY_LEGAL_NAME}} each agree that disputes will be brought only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, representative or private attorney general proceeding. The arbitrator may not consolidate the claims of more than one person and may not preside over any form of representative or class proceeding. If this Section 14.4 is found unenforceable as to a particular claim or request for relief, that claim or request will be severed and decided in court, and the rest will be arbitrated.

To the extent any dispute proceeds in court rather than arbitration, you and we each waive the right to a jury trial, to the fullest extent the law allows.

14.5 Exceptions

Either party may bring an individual claim in small claims court in {{COUNTY}} County, Texas, or in the county where you live, if the claim qualifies and stays in that court. Either party may also seek injunctive or other equitable relief in court to protect intellectual property rights or to stop unauthorized access to the Site, without first engaging in arbitration.

14.6 Mass filings

If 25 or more similar arbitration demands are filed against us by the same or coordinated counsel, the parties agree that the AAA Mass Arbitration Supplementary Rules will apply, and that the claims will be batched and resolved in staged proceedings as those rules provide. Any statute of limitations is tolled while claims are awaiting their stage.

14.7 Your right to opt out

You may reject this arbitration agreement and the class-action waiver by emailing {{LEGAL_EMAIL}} within 30 days after you first use the Site, with the subject line "Arbitration opt-out", your name, and a statement that you decline to arbitrate disputes with {{COMPANY_LEGAL_NAME}}. Opting out does not affect any other part of these Terms. If you opt out, Section 15 governs where disputes are heard.

14.8 Changes to this Section

If we change Section 14 after the date you first accepted these Terms, you may reject the change by notifying {{LEGAL_EMAIL}} within 30 days of the change taking effect. In that case the version of Section 14 you previously accepted will continue to apply.

15. Governing law and jurisdiction

These Terms and any dispute arising out of them or the Site are governed by the laws of the State of Texas and applicable federal law, without regard to conflict-of-laws rules that would apply the law of another jurisdiction. Subject to Section 14, you and we agree that the state and federal courts located in {{COUNTY}} County, Texas, have exclusive jurisdiction over any dispute that is not subject to arbitration, and you consent to personal jurisdiction in those courts. If you are a consumer and the law of your state gives you non-waivable rights to bring a claim in your home jurisdiction, nothing in this Section takes those rights away.

16. Notice to Texas consumers and consumers in other states

Nothing in these Terms waives, limits or modifies your rights under the Texas Deceptive Trade Practices-Consumer Protection Act, Tex. Bus. & Com. Code § 17.41 et seq. (the "DTPA"). Under § 17.42 of the DTPA, a consumer's waiver of that statute is void unless it meets strict conditions, including that the consumer is represented by independent counsel. These Terms are not such a waiver, and we do not ask for one. If the DTPA requires a pre-suit notice, you may deliver it to the address in Section 19.

Notice to consumers: CloudAPIcredits is operated by {{COMPANY_LEGAL_NAME}}, {{STREET_ADDRESS}}, {{SUITE_OR_UNIT}}, {{CITY}}, TX {{ZIP}}, United States. Questions and complaints may be sent by email to {{CONTACT_EMAIL}}, by mail to the address above. Texas residents may also contact the Consumer Protection Division of the Office of the Texas Attorney General at P.O. Box 12548, Austin, Texas 78711-2548, by phone at 1-800-621-0508, or at www.texasattorneygeneral.gov.

California residents: under Cal. Civ. Code § 1789.3, you may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by phone at 1-800-952-5210.

Consumers in other states keep every right that cannot be waived under their state's law.

17. Changes to these Terms

We may revise these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page and, for material changes, post a notice on the Site for at least 30 days. Changes take effect when posted unless the notice says otherwise. Your continued use of the Site after a change takes effect means you accept the revised Terms. Section 14.8 explains how to reject a change to the arbitration agreement.

18. General terms

18.1 Severability

If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force, except as Section 14.4 provides for the class-action waiver.

18.2 Entire agreement

These Terms, together with the documents incorporated by reference in Section 1, are the entire agreement between you and us about the Site and replace any prior understanding on the same subject.

18.3 No waiver

Our failure to enforce any provision of these Terms is not a waiver of our right to enforce it later.

18.4 Assignment

You may not assign or transfer these Terms or any rights under them. We may assign them to a successor or affiliate without notice to you.

18.5 Termination

We may suspend or terminate your access to the Site or your account at any time, for any reason, including a breach of these Terms. Sections 8, 9, 11 through 16 and 18 survive termination.

18.6 Force majeure

We are not liable for any failure or delay caused by events beyond our reasonable control, including outages at third-party hosting, network or Provider services.

18.7 Electronic communications

You consent to receive notices from us electronically, by email or by posting on the Site, and agree that electronic notices satisfy any legal requirement that a communication be in writing.
